Miami-Dade real estate and investor disputes

For a Miami property investment, the recorded owner, the investor who supplied funds and the person authorized to act for the ownership entity may be different people. A useful first assessment follows those relationships through the purchase contract, entity documents, funding records and closing instructions.

International investors and the ownership chain

When an investor or an ownership entity is outside the United States, identify every entity between the investor and the property. Preserve the formation documents, authority to sign, contribution agreements and relevant translations. Citizenship, residence, the property’s location and the contract’s governing-law provision raise different questions; no single one determines the entire dispute.

Deposits, escrow and an unsuccessful closing

For a failed Miami-Dade closing, build a dated sequence of the agreement, amendments, financing communications, title objections, escrow instructions and any default notice. Separate the deposit held in escrow from other money claimed as damages. The practical objective—return of funds, completion of a transaction or resolution of a title problem—should be clear before a remedy is selected.

Commercial property and control of the business

An income-producing property dispute can also disrupt the operating business. Determine who may communicate with the lender, collect rents, instruct a property manager or approve a sale. An operating agreement, management contract or guaranty may answer a different question from the deed. Preserve those records together instead of treating the transaction as a title issue alone.

An overseas investor’s involvement does not alone determine the correct court or division; the agreements, claims and applicable assignment requirements need review.
